Atomi Inc., its affiliates and subsidiaries (“we”, “us”, “our”, “atomi”) are committed to protecting your privacy. This Privacy Policy (“Mobile Application and Smart Devices Privacy Policy”) describes our practices in connection with information privacy on Personal Data we collect and process through your individual use of the following services and products (collectively, the “Products and Services”), including, Products requiring connecting to our atomi mobile application (“Mobile Application”):

• Atomi smart Mobile Application
• Atomi Smart Devices and Products
• Atomi non-Smart Devices and Products

In this Privacy Policy, “Personal Data” means information that can be used to identify an individual, either from that information alone, or from that information and other information we have access to about that individual. “Smart Devices” refers to those nonstandard computing devices produced or manufactured by hardware manufacturers, with human-machine interface and the ability to transmit data that connect wirelessly to a network, including but not limited to: smart home appliances, smart wearable devices, smart air cleaning devices, etc. “Apps” refers to those mobile applications developed by Atomi that provide end users remote control to Smart Devices and with the ability to connect to Atomi IoT Platform.

Please note that the account you make to connect and use the atomi Mobile Application is different and separate from the account you create on our websites (www.atomismart.com or www.atomiusa.com). Certain state laws, including Texas and Nebraska, confer certain rights relating to personal information to their residents. If you are a resident of those states, please also see our Multi-State Consumer Privacy Section in this Policy

What Personal Data do we collect

In order to provide certain Products and Services to you including utilizing our Mobile Application or connecting and linking certain Smart Devices to the Mobile Application, we may ask you to provide necessary Personal Data that is required to provide those Products and Services. If you do not provide your Personal Data, we may not be able to provide you with our Products and Services.

Atomi collects information you or other users submit through the Mobile Application to utilize smart devices. This includes not only Atomi Smart Devices but other third-party devices which you choose to utilize on our Mobile Application Platform.

Please note that Atomi only collects and processes information from smart devices connected to our Mobile Application. Certain Atomi Smart Devices can be used through third-party branded mobile applications if installed onto their platforms. In these instances, the third-party mobile applications may control all the Personal Data collected through our Products. These mobile applications are separate and different from the Atomi Mobile Application. If you use Atomi products through these branded mobile applications, please note that we do not collect or access any information provided to these third-party platforms. If you are a customer of one of our devices that has been linked to and utilized on a third-party mobile application, please contact the third-party company directly and and review their privacy policies for further information about how your Personal Data is collected and used. Furthermore, certain Atomi Smart Devices do not require any connection to any applications, including the Atomi Mobile Application. In these instances, Atomi does not collect, process, or access your personal data. For more information about these devices, please click here .

1. Information You Voluntarily Provide Us

• Account or Profile Data: When you register an account with us on our Mobile Application, we may collect your name and contact details, such as your email address, phone number, user name, and login credentials. During your interaction with our Products, we may further collect your nickname, profile picture, country code, language preference or time zone information into your account.

• Feedback: When using feedback and suggestion features in our Products, we will collect your email address, mobile phone number and your feedback content to address your problems and solve device failures on a timely basis.
 

2. Information We Collect Automatically

• Device Information: When you interact with our Product using the Mobile Application, we automatically collect device information, such as the MAC address of your devices, IP address, wireless connection information, operating system type and version, application version number, push notification identifier, log files, and mobile network information.
• Usage Data: During your interaction with our Mobile Application, we automatically collect usage data relating to visits, clicks, downloads, messages sent/received, and other usage of our Mobile Application.
• Log Information: When you use our Mobile Application, the system and exception log may be uploaded.
• Location Information: We may collect information about your real-time precise or non-precise geo-location (with your permission) when you use our specific Products or Services, such as robot cleaner and weather service.

3. Smart Devices Related Information:

• Basic Information of Smart Devices: When you connect your Smart Devices with our Mobile Application, we may collect basic information about your Smart Devices such as device name, device ID, online status, activation time, firmware version, and upgrade information.
• Video, Audio, images and Clips. If your Smart Device stores videos, audio, images, or clips, we may access and collect such video recordings, audio recordings, live video or audio streams, images, environmental data, and other data if relevant for the orderly operation of the Application. If you use voice commands to control the Application, your voice commands will be stored and processed through the Application as part of its operation. This does not apply to Atomi’s Dash Cam.
• Information Reported by Smart Devices: Depending on the different Smart Devices you elect to connect with our Mobile Application, we may collect different information reported by your Smart Devices. For example, smart bulbs may collect when you turn the bulb on or off, the electricity usage of the bulb, and the time and place of use.
• Permission-Based Information by Smart Devices: Certain Smart Devices do not require connection with our Mobile Application. In these instances, Atomi does not collect or process personal identifying information from such devices. These products do collect information pertaining to permissions including permissions to access your wifi, your photo albums, your geolocation settings, and other settings as needed to fully ensure your Smart Devices are fully utilized.

Purposes and legal basis for processing Personal Data

We may process information about you for the following purposes:
• Provide You with Products and Services: If you connect a Smart Device to our Mobile Application, we process your account and profile data, device information, usage data, non-specific location information, specific geolocation (with your permission), and Smart Device related information to provide you with our Products and Services that you have requested or purchased. The legal basis for this processing is to perform our contract with you according to our Terms of Use.,
• Improve Our Products and Services: We process your device information, usage data, location information and Smart Device related information to ensure the functions and safety of our Products and Services, to develop and improve our Products and Services, to analyze the efficiency of our operations, and to prevent and trace fraudulent or inappropriate usage. The legal basis for this processing is to perform our contract with you according to our Terms of Use.
• Maximizing Product and Services to You: Including to identify and authenticate you; provide you with the Mobile Application; enable you to control, manage, and operate your Smart Devices; provide technical support and other remote maintenance services for the Mobile Application and provide such services and support in connection with the Smart Device purchased from us; to link your account information or otherwise interact with the Smart Device and other apps, devices, features and services of third-party service partners enabling the operation of your Smart Device.
• Non-marketing Communication: We process your Personal Data to send you important information regarding the Products and Services, changes to our terms, conditions, and policies and/or other administrative information. Because this information may be important, you may not opt-out of receiving such communications. The legal basis for this processing is to perform our contract with you according to our Terms of Use.
• Marketing Communication: We may process your Personal Data to provide marketing and promotional materials to you on our Products and Services. If we do so, each communication we send will contain instructions on how to opt-out of receiving future communications of that nature. The legal basis for this processing is your consent. Additionally, if you consent to participate in our lottery, contest or other promotions, we may use your Personal Data to manage such activities.
• Personalization: If you connect your Smart Devices to the atomi Mobile Application, we may process your account and profile data, usage data, device information to personalize product design and to provide you with services tailored for you, such as recommending and displaying information and advertisements regarding products suited to you, and to invite you to participate in surveys relating to your use of our Products. The legal basis for this processing is your consent.
• Legal Compliance: We may process your Personal Data as we believe to be necessary or appropriate: (a) to comply with applicable laws and regulations; (b) to comply with legal process; (c) to respond to requests from public and government authorities (d) to enforce our terms and conditions; (e) to protect our operations, business and systems; (f) to protect our rights, privacy, safety or property, and/or that of other users, including you; and (g) to allow us to pursue available remedies or limit the damages that we may sustain.

Whom do we disclose Personal Data to?

At Atomi, we only disclose Personal Data in ways that we tell you about. We may disclose your Personal Data to the following recipients:
• To our third-party service providers who perform certain business-related functions for us, such as website hosting, data analysis, payment and credit card processing, infrastructure provision, IT services, customer support service, e-mail delivery services, and other similar services to enable them to provide services to us, including but not limited to Copilot.cx, Google Firebase, and Tuya.
• To our third-party software development kit (SDK) providers including but not limited to:

• GPS and other sensor data from your device

• Internet or other network or device activity: When visiting any Mapbox websites, Mapbox automatically receives certain information such as: (a) browser and device type, (b) operating system, and (c) referring web pages including the pages visited on such sites. And information such as, IP address, data collected via strictly necessary and accepted website cookies / similar technologies. • To an affiliate or other third party in the event of any reorganization, merger, sale, joint venture, assignment, transfer or other disposition of all or any portion of our business, assets or stock (including without limitation in connection with any bankruptcy or similar proceedings). In such an event, you will be notified via email and/or a prominent notice on our website of any change in ownership, incompatible new uses of your Personal Data, and choices you may have regarding your Personal Data.
• When necessary or appropriate: (a) to comply with applicable laws and regulations; (b) to comply with legal process; (c) to respond to requests from public and government authorities, including public and government authorities outside your country of residence; (d) to enforce our terms and conditions; (e) to protect our operations, business and systems; (f) to protect our rights, privacy, safety or property, and/or that of other users, including you; and (g) to allow us to pursue available remedies or limit the damages that we may sustain.
• To subsidiaries or affiliates within our corporate family, to carry out regular business activities.

Disclaimer on Devices and Products Not Connected to the atomi Mobile Application

Atomi has a number of Products that do not connect to Atomi’s Mobile Application.

These devices include non-smart Devices along with Smart Devices like Smart Tags or the Dash Cam that do not connect to the Mobile Application. Atomi does not collect or process any personal information in connection with these devices. Rather, this information is stored locally on your device. For example, for Atomi smart tags, we do not collect location or other device data related to smart tags. Only you can see where your item is. Your location data and history are never stored on the Smart Device itself but rather on your phone. Devices that relay the location of your item also stay anonymous and the location data is encrypted every step of the way. We do not know the location of a device or the identity of the owner. Similarly, Atomi does not collect or process any personal information from the Dash Cam. Any video images obtained are stored on the Dash Cam and accessed only by you on your mobile device, the videos and images obtained are never transmitted, collected, or processed by Atomi.

Intended Audience; COPPA Compliance

Atomi’s Products, Services, website, Mobile Application, and any other activities are not intended for use by anyone under the age of 18. If you are a parent or guardian of a child from whom you believe we have inadvertently collected personal information in a manner prohibited by law, please contact us immediately. If we learn that we have inadvertently collected personal information through our Services from a child without the consent of the child’s parent or guardian as required by law, we will comply with applicable legal requirements to delete the information.

The requirements of the Children’s Online Privacy Protection Act (“COPPA”) do not apply to us. Our Products, Services, website, and Mobile Application are not intended people under the age of 18, We require affirmative confirmation that the individual is 18 or over prior to creating an account and using our Products, Services, and Mobile Application. We will not knowingly collect information from minors in the United States or elsewhere with or without the consent of their parents or guardians. International Transfer of Information Collected

To facilitate our operation, we may transfer, store and process your Personal Data in jurisdictions other than where you live. Laws in these countries may differ from the laws applicable to your country of residence. When we do so, we will ensure that an adequate level of protection is provided for the information by using one or more of the following approaches:

Your Rights Relating to Your Personal Data

We respect your rights and control over your Personal Data. You may exercise any of the following rights:

You do not have to pay a fee and we will aim to substantively respond you within 45-90 days. If you decide to email us, in your request, please make clear what information you would like to have changed, whether you would like to have your Personal Data deleted from our database or otherwise let us know what limitations you would like to put on our use of your Personal Data. Please note that we may ask you to verify your identity before taking further action on your request, for security purposes.
You may:
• Request access to the Personal Data that we process about you;
• Request that we correct inaccurate or incomplete Personal Data about you;
• Request deletion of Personal Data about you;
• Request restrictions, temporarily or permanently, on our processing of some or all Personal Data about you;
• Request transfer of Personal Data to you or a third party where we process the data based on your consent or a contract with you, and where our processing is automated; and
• If you change your mind, you may opt-out of our use of Personal Data about you where our use is based on your consent or our legitimate interests.
Security

We use commercially reasonable physical, administrative, and technical safeguards to preserve the integrity and security of your Personal Data. Atomi provides various security strategies to effectively ensure data security of user and device. As for device access, Atomi proprietary algorithms are employed to ensure data isolation, access authentication, applying for authorization. As for data communication, communication using security algorithms and transmission encryption protocols and commercial level information encryption transmission based on dynamic keys are supported. As for data processing, strict data filtering and validation and complete data audit are applied. As for data storage, all confidential information of users will be safely encrypted for storage. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any account you might have with us has been compromised), you could immediately notify us of the problem by emailing support@atomiusa.com

Data Retention

We process your Personal Data for the minimum period necessary for the purposes set out in this Privacy Policy, unless there is a specific legal requirement for us to keep the data for a longer retention period. We determine the appropriate retention period based on the amount, nature, and sensitivity of your Personal Data, and after the retention period ends, we will destruct your Personal Data. When we are unable to do so for technical reasons, we will ensure that appropriate measures are put in place to prevent any further such use of your Personal Data.

Sensitive Personal Information
Under applicable laws, consent is required for the processing of certain sensitive personal information. We do not process, use, or disclose sensitive personal information under the applicable laws of the Multi-State Notice. In the event of any changes, We shall obtain your consent prior to the collection of any sensitive personal information as defined under applicable law.
 
RIGHT TO OPT-OUT OF SALE OF PERSONAL INFORMATION
You have the right to opt-out of the sale of your Personal Information. The applicable laws generally define the “sale” of personal data as the exchange of personal data for monetary consideration by a controller to a third party. We do not sell or share your Mobile Application data with third parties for targeted advertising or profiling purposes. If our practices change we will make sure to inform you regarding any sales of your information.
 

RIGHT TO NON-DISCRIMINATION FOR EXERCISING CONSUMER PRIVACY RIGHTS
You have the right not to receive discriminatory treatment for exercising your privacy rights conferred under Texas and Nebraska law, including by exercising the rights specified herein. As the Right to Non-Discrimination is effective across the board, there is no specific “request” that you need to make in order to exercise this right.

RIGHT TO OPT OUT OF DATA PROCESSING FOR TARGETED ADVERTISING OR PROFILING PURPOSES
You have the right to opt out of the processing of your Personal Information with third parties. We do not sell or share the Mobile Application data for targeted advertising or profiling purposes.

RIGHT TO CORRECT
You have the right to request that we rectify inaccurate information about you.

RIGHT TO REQUEST DELETION OF PERSONAL DATA
You have the right to request the deletion of your personal data provided by or obtained about you (“Request to Delete”), subject to certain exceptions permitted by law. RIGHT TO DATA PORTABILITY
You can request a copy of your Personal Information in an easily accessible format and information explaining how that information is used.

RIGHT TO ACCESS INFORMATION ABOUT AUTOMATED DECISION MAKING AND THE RIGHT TO OPT-OUT OF AUTOMATED DECISION MAKING
You can request access to information about automated decision making processes atomi uses and you may request to opt out of certain automated decision making. To inquire about automated decision making, please email us at support@atomiusa.com.

2. How to Make a Rights Request

You can make a Rights Request in the following ways:

We will acknowledge your Request within 10 days and will attempt to respond substantively within 45-90 days.
You must provide sufficient information to allow us to verify that you are the person about whom the personal information was collected and must contain sufficient detail to allow us to properly understand, evaluate and respond to your request. If we cannot verify your identity, we will not be able to respond to your request.
Once we receive your Request, we will begin the process to verify that you are the person that is the subject of the request (the “Verification Process”). The Verification Process consists of matching identifying information provided by you with the information we have about you in our records. You will be asked to provide us with two or three pieces of information that will help us to verify your identity. We will retain correspondence, documents and information related to any Request to Know, Request to Delete, or Request to Opt-Out for 24 months as required by law.
 
3. Appeals

RIGHT TO APPEAL
Residents of certain states have the right to appeal our decision to deny any of your privacy rights requests above. Within 45 days of receipt of your appeal, we will inform you in writing of any action taken or not taken in response to the appeal, including a written explanation of the reasons for the decisions.

3. Retention of Personal Information
We will retain your Personal Information for as long as it is necessary for the purposes set out in the Mobile Application Privacy Policy and to the extent necessary to comply with our legal obligations (for example, if we are required to retain your Personal Information to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.
